1. Acceptance of Terms

Welcome to PianoHiTech (the "Site"). These Terms and Conditions ("Terms") govern your access to and use of the PianoHiTech website, including any content, functionality, and services offered on or through the Site (collectively, the "Services").

By accessing or using the Site, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at [Privacy Policy Page]), which is incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Site.

2. Description of Services

PianoHiTech provides users with access to informational content, resources, and tools related to music and piano technology, including but not limited to the "MIDI Visualizer" application. The Services are provided on an "as is" and "as available" basis. PianoHiTech reserves the right to modify, suspend, or discontinue any part of the Services at any time without prior notice or liability.

3. User Registration (Accounts)

Certain features of the Site may require you to register for an account. Currently, registration only requires providing a valid email address. You agree to:
a) Provide accurate and current information.
b) Maintain the security of your account and not share your access credentials.
c) Be solely responsible for all activities that occur under your account.
d) Notify PianoHiTech immediately of any unauthorized use of your account.

PianoHiTech reserves the right to suspend or terminate your account at its sole discretion if you violate these Terms or engage in activities that are harmful to the Site or other users.

4. User Obligations and Acceptable Use

You agree to use the Site and Services only for lawful purposes and in accordanceance with these Terms. You agree not to:
a) Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
b) Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by PianoHiTech, may harm PianoHiTech or users of the Site or expose them to liability.
c) Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site.
d) Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
e) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
f) Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site, without our prior written consent.
g) Upload, display, or process any content (including MIDI files) for which you do not possess the necessary rights, licenses, or permissions.

5. Intellectual Property Rights

a) Site Content: The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by PianoHiTech, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site strictly in accordance with these Terms for your personal, non-commercial use only.
b) User-Provided Content (MIDI Files): PianoHiTech does not provide MIDI files. Users may upload their own MIDI files ("User Content") to use with certain tools like the MIDI Visualizer. PianoHiTech does not claim any ownership rights over the User Content you upload. However, by uploading User Content, you grant PianoHiTech a temporary, worldwide, non-exclusive, royalty-free license solely for the purpose of processing the file as necessary to provide the functionality of the MIDI Visualizer service during your active session (e.g., to read, display, allow playback, and export as PNG). You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to upload and use your User Content in connection with the Services and to grant the limited license described herein.

6. Copyright Policy and User Responsibility (MIDI Visualizer)

PianoHiTech respects the intellectual property rights of others. The MIDI Visualizer tool is provided for users to visualize MIDI files they own or have the legal right to use.
a) User Warranty: By uploading a MIDI file, you expressly represent and warrant that you are the copyright owner of the file or have obtained all necessary permissions, licenses, or authorizations from the copyright owner(s) to upload, process, visualize, play back, and export the file using our Services.
b) Prohibition: Uploading, processing, or otherwise using MIDI files that infringe upon the copyrights or other intellectual property rights of third parties is strictly prohibited.
c) No Liability: PianoHiTech provides the tool only and does not monitor or prescreen User Content. You are solely and exclusively responsible for the MIDI files you choose to upload and process using the MIDI Visualizer. PianoHiTech shall have no liability whatsoever for any copyright infringement or other violation of law committed by you through your use of the Services.
d) Disclaimer Reference: Your use of the MIDI Visualizer tool is subject to the specific copyright disclaimers presented within or alongside the tool, which you accept by using the tool.

7. Disclaimer of Warranties

THE SITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PIANOHITECH NOR ANY PERSON ASSOCIATED WITH PIANOHITECH MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE OR SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER PIANOHITECH NOR ANYONE ASSOCIATED WITH PIANOHITECH REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

PIANOHITECH HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. PIANOHITECH SPECIFICALLY DISCLAIMS ANY RESPONSIBILITY OR LIABILITY FOR THE CONTENT OR LEGAL STATUS OF MIDI FILES UPLOADED BY USERS.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8. Limitation of Liability

IN NO EVENT WILL PIANOHITECH, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, OR ANY SERVICES OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless PianoHiTech, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site, or specifically, any claim related to the infringement of third-party rights (including copyright) arising from the MIDI files you upload and process using the Services.

10. Third-Party Links

The Site may contain links to other sites and resources provided by third parties. These links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Site, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

11. Privacy

12. Modifications to the Terms

PianoHiTech reserves the right, at our sole discretion, to revise and update these Terms from time to time. b) Waiver: No waiver by PianoHiTech of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of PianoHiTech to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
c) Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
